Wholesale Terms & Conditions

Terms and Conditions for florists or businesses purchasing wholesale flowers from Mendip Flower Company:

 The following terms also apply to your use of our site and services:

 

ACCEPTANCE OF TERMS:

By purchasing wholesale flowers from Mendip Flower Company you acknowledge that you have read, understood, and agree to abide by these terms and conditions.

 

ELIGIBILITY:

Only professional florists showing valid business documentation, by way of website or other that proves their status are eligible to purchase wholesale flowers from Mendip Flower Company.

Businesses (i.e. Retail shops, Events Coordinators etc.) are also eligible. Valid business documentation is required and a minimum first spend of £200 - there is no minimum order after this.

 

REGISTRATION:

Prior to making purchases, florists and businesses must register with Mendip Flower Company and provide all necessary information.

 

YOUR ORDER:

Orders must be placed within the designated ordering hours that Mendip Flower Company offers.  A seasonal availability list will be sent out every Sunday evening, stating what is looking best in the field, including variety, colours and stem length, with a low, medium or high availability option.

You are able to order from this list from Sunday until 5pm Thursday. Flowers are cut to order and fully conditioned. We request that orders are placed at least 24 hours prior to collection.

PAYMENT:

Payment for wholesale flowers are invoiced. Payment is due upon receipt. Mendip Flower Company accepts BACS or credit and debit cards via the website www.mendipflowers.co.uk

All cards are subject to validation checks and authorisation by the card issuer. We cannot be liable for delays or non-delivery if, for any reason, your card issuer refuses to authorise payment. 

Ownership of any of our products will only pass to you once we receive full payment of all sums due. There are no credit terms.

In the unlikely event that we are unable to supply your order, we shall notify you as soon as is reasonably practical and reimburse your payment in full and in any event no later than 30 days after the intended delivery / collection date.

 

QUALITY ASSURANCE:

While Mendip Flower Company strives to provide high-quality flowers, we cannot guarantee the freshness or condition of flowers once they leave our flower farm. Wholesale customers are encouraged to inspect their purchases upon receipt.

 

COLLECTION:

Flowers will be available for collection 9.30 am - 6pm Tuesday - Saturday only.  Please get in touch if you require a different time as we can accommodate you with suitable notice. Please let us know in advance when you will be collecting your flowers.

DELIVERY:

Collection from the farm is preferred. Wholesale delivery is available for minimum orders of £100 and restricted to up to 12 miles from BA3 4QF, defined by the map shown on this website. Deliveries are carried out by Mendip Flower Company.​

Wholesale delivery is charged at a fee of £1.50 per mile. There are no deliveries on Bank Holidays and the day following a bank Holiday.

We will attempt one delivery only on the agreed day. We are not responsible for flowers or other products being affected by the recipient not being available to receive delivery. If on delivery the recipient is unavailable the flowers will be left outside of the home or business. Please leave appropriate vessels with water, for your flowers to be stored in.
In the event of a delivery failure by Mendip Flower Co. we will offer the option of a full refund or a replacement delivery on another agreed date.  Errors in your submitted personal details may lead to problems or delays in delivery. Please ensure you have completed the full postal address including a post code for the intended recipient and your daytime contact telephone number & e-mail address.  Should there be a delivery problem(s) we can notify you. A delivery failure does not include the recipient being out or unavailable to take delivery. 

 

BUCKETS:

Please make sure you bring the correct number of clean buckets with you upon collection of your flowers.


FLOWER CARE:
Putting your order in a cool place, out of direct sunlight and away from heat sources will help them last longer. Cutting a few millimetres off the bottom of the stems every few days and refreshing the water will allow the flowers to hydrate and again help them to last longer.

WHOLESALE FLOWERS CANCELLATION AND REFUND POLICY:
When you place an order for flowers, if you realise you have made a mistake, or if you change your mind, we are able to amend or cancel your order no less than 24 hours before the scheduled collection or delivery date.
A refund/replacement can be made if the customer establishes that the quality of product delivered is not as advertised.
In cases of receipt of damaged flowers or other products, please contact to discuss a refund/replacement. The matter should be reported within 24 hours of receipt.
In cases where you feel the product received is not as shown on the site or as per your expectations, you must bring it to our notice within 24 hours of receiving the product.

LIABILITY:

Mendip Flower Company shall not be liable for any damages, loss or injury arising from the purchase, use or transportation of flowers by wholesale customers.  You are responsible for ensuring the safe handling and transportation of your purchases.

 

MODIFICATION OF TERMS:

Mendip Flower Company reserves the right to modify these terms and conditions at any time without prior notice.  Registered florists and businesses will be notified of any changes via email.

 

TERMINATION OF REGISTRATION:

Mendip Flower Company reserves the right to terminate the registration of any florist or business found to be in violation of these terms and conditions or engaging in fraudulent or unethical behaviour.


DEFINITIONS
“Conditions” means these terms and conditions;
“Product” means an item displayed for sale on the Website;
“Product Description” means that part of the Website where certain terms and conditions in respect of a Product are provided;
“Users” means the users of the Website collectively;
“Personal Information” means the details provided by you;
“We/us” means Mendip Flower Company
“Website” means the website located at www.mendipflowers.co.uk
“United Kingdom” means England, Wales, Scotland, Northern Ireland and the Channel Islands
“You” means a user of this Website or buyer of products.


INDEMNITY
You agree fully to indemnify, defend and hold us, and our officers, directors, agents and suppliers, harmless immediately on demand, from and against all claims, liability, damages, losses, costs and expenses, including reasonable legal fees, arising out of any breach of the Conditions by you or any other liabilities arising out of your use of this Website, or the use by any other person accessing the Website using your shopping account and/or your Personal Information.

As with all shopping websites, we collect personal information from you when you shop online at www.mendipflowers.co.uk. We use this information to make your shopping experience as easy and enjoyable as possible. We need it to process your order and inform you of any details, delays or problems.

Circumstances where we may share some of your data with others:
With agents (including credit reference agencies, credit card clearing agencies, fraud prevention and detection agencies and delivery services) that we use to process the orders you place with us or who assist us in the service we provide to you. In the event that our business assets are ever sold to or purchased by another company (because our data records are part of our business).

We will take all reasonable care, in so far as it is in our power to do so, to keep the details of your order and payment secure, but in the absence of negligence on our part we cannot be held liable for any loss you may suffer if a third party procures unauthorised access to any data you provide when accessing or ordering from our Website.

CONTRACT CREATION AND ELECTRONIC CONTRACTING
The technical steps required to create the contract between you and us are as follows:
You place the order for your flowers or foliage by emailing us with your requirements based on our seasonal availability list.
If you have provided a valid email address, we will send to you an order acknowledgement email detailing the products you have ordered. This is not an order confirmation or order acceptance from us.

You will then receive an invoice for your products. Payment is due upon receipt of invoice.
Order acceptance and the completion of the contract between you and us will take place upon received paymnets and the despatch to you of the products ordered unless we have notified you that we do not accept your order, or you have cancelled it.
Non-acceptance of an order may be a result of one of the following:
The product you ordered being unavailable from stock.
Our inability to obtain authorisation for your payment.
The required delivery address being outside of our delivery area.
The identification of a pricing or product description error.
You not meeting the eligibility to order criteria set out in the main Terms & Conditions.
The contract will be concluded in English.

DESCRIPTION OF PRODUCTS
Each item purchased is sold subject to it's Product Description which sets out additional Specific Conditions related to that Product including, without limitation, terms and conditions concerning estimated delivery dates, warranties, after-sales service and guarantees. We will take all reasonable care to ensure that all details, descriptions and prices of Products appearing on the Website and  wholesale availability list are correct at the time when the relevant information was entered onto the system.
Although we aim to keep the Website as up to date as possible, the information including Product Descriptions appearing on this website at a particular time may not always reflect the position exactly at the moment you place an order. We cannot confirm the price of a Product until your order is accepted in accordance with our Order acceptance policy.

We reserve, wholly and without exception, absolute copyright over all images used on this website, and all images included in any product, from prints, photographs, graphics and artworks to packaging or any embellishments to such packaging. WAIVER
No waiver by us shall be construed as a waiver of any proceeding or succeeding breach of any provision.

SURVIVAL
Each provision of the Conditions shall be construed as separately applying and surviving even if for any reason one or other of those provisions is held to be inapplicable or unenforceable in any circumstances.

ENTIRE AGREEMENT
These Conditions govern our relationship with you. Any changes to these Conditions must be in writing and signed by both parties. In this way, we can avoid any problems surrounding what Mendip Flower Company and you are expected to do. You confirm that, in agreeing to accept the Conditions, you have not relied on any representation save insofar as the same has expressly been made a term of these Conditions and you agree that you shall have no remedy in respect of any representation.
Your Statutory Rights are not affected by these terms and conditions. Nothing in this Clause shall limit or exclude our liability in respect of any fraudulent or negligent misrepresentation whether or not such has become a term of the Conditions.

LAW
The Conditions shall be governed by and construed in accordance with the laws of England and you irrevocably submit to the exclusive jurisdiction of the courts of England.
